EGM Resolutions passed



Hardy Amies plc today announces that all the resolutions required to approve the
acquisition of Brand Development Capital Unlimited  from Arev Brands Limited, a
wholly owned subsidiary of Arev Limited were passed by the requisite majorities
at the Extraordinary General Meeting held this morning at 10:00 a.m.



Application has been made to the AIM Market of the London Stock Exchange for the
110,454,218 new Ordinary Shares, comprising 103,787,551 new Ordinary Shares to
be issued in connection with the acquisition and 6,666,667 new Ordinary Shares
to be issued in connection with the settlement of the claims referred to in the
Circular to shareholders dated 26 April 2006 to be admitted to trading on 18 May
2006.
