Further to the preliminary notice published by Bank Hapoalim B. M. ("the Bank") on 6.5.2019 of its intention to convene an annual meeting of the shareholders of the Bank on the agenda of which, among other things, is the appointment of directors, and further to the report published by the Bank on 26.5.2019 regarding the candidates for the office of directors of the Bank to be elected in 2019, which were proposed by the committee for the appointment of directors of banking corporations that was constituted under the Banking (Licensing) Law, 5741-1981 ("the Committee for the Appointment of Directors"), the Bank updates as follows:

On 12.6.2019 the Committee for the Appointment of Directors announced having chosen Ms. Tamar Bar-Noy Gutlin as an alternative candidate for the office of other director (who is not an external director) of the Bank. This follows a resolution of the Audit Committee of the Board of Directors of the Bank that determined that in relation to the candidacy of Ms. Dalia Tal, a previous candidate that was chosen, there is a not insubstantial relationship, as provided in Section 11E (b) (1) (b) of the Banking Ordinance, 1941, which constitutes a preliminary preclusion from holding office as a director of the Bank.
