Nature of the Event: Early Redemption of Subordinated Capital Notes

Bank Hapoalim B.M. (the "Bank") respectfully advises as follows:

1. On June 5, 2019, the Board of Directors of the Bank approved the early redemption in full of the Subordinated Capital Notes (Series D) which were issued in a private placement to classified investors on September 7, 2009 (Security No. 6620355, non-tradable).

2. Execution of the early redemption is subject to receipt of the approval of the Supervisor of Banks.

   3.   The early redemption will be made on September 9, 2019. 

4. On the early redemption date the Bank will pay to the holders of the Subordinated Capital Notes (Series D), at its registered office at 50 Rothschild Boulevard, Tel-Aviv and against delivery of the certificate of the Subordinated Capital Notes the principal of the Subordinated Capital Notes in the sum of NIS 300,000,000 n.v. and the interest that will accrue until such date and in addition to linkage differences accrued to that date, if any accrue.

5. After publication of the Consumer Price Index for the month of July 2019 the Bank will publish an immediate report, in the framework of which it will specify the exact total redemption amount to be paid on early redemption.
