HACAS GROUP PLC


                       POSSIBLE OFFER AND CURRENT TRADING



HACAS Group Plc ("HACAS") announces that it has received an approach, which may
or may not lead to an offer being made for the Group. A further announcement in
relation to this will be made in due course.


The directors of HACAS also announce that trading in the first half of the
current year has been ahead of market expectations. These interim results for
the six months ended 31 March 2003 are expected to be released on Tuesday 20
May.
