                       NOTICE OF EGM AND DIRECTOR CHANGE



Further to the successful completion of the takeover of HACAS Group PLC ("HACAS"
or "the Company") by Tribal Group Plc, HACAS announces that it convened an EGM,
which was held at short notice on Monday 4 August.


The business of the meeting was to pass a resolution to re-register HACAS as a
private company and to make a consequential alteration to the Company's
memorandum and articles of association. The resolution was duly passed.


HACAS also announces that the following individuals have been appointed as
directors of HACAS. The current directorships and partnerships of these
individuals and those held during the previous five years are set out below.
Directorships of the subsidiaries of the companies for which directorships are
shown are not included.
