                                HACAS GROUP PLC

                           DIRECTORS' SHARE DEALINGS

Following  institutional and private client investor demand for the  Company's
shares, Julian Ashby, Derek Joseph, Jeffrey Zitron and Richard Wollenberg (all
directors of HACAS Group plc) have agreed to sell 150,000 shares each in order
to  improve  liquidity in the Company's shares.  The total of  600,000  shares
represents 2.1% of the total number of ordinary shares in issue.  These shares
were  sold  on  25 September 2000 at a price of 79p each to institutional  and
other investors.

In  addition  Richard Wollenberg has exercised options in respect  of  300,000
shares.   Application has been made for these shares to  be  admitted  to  AIM
together  with  29,700  other  shares that were  not  previously  admitted  to
trading.  These shares will rank pari passu with all other shares currently in
issue and it is expected that these shares will be admitted to trading on  AIM
on 4 October 2000.  The enlarged number of shares in issue is now 28,223,456.

The  interests  of these directors in the share capital of the  Company  after
completion of these transactions is as follows:
