                       GUANGDONG DEVELOPMENT FUND LIMITED



The board of directors of Guangdong Development Fund Limited ("Company")
recommends the payment of a final dividend of US3 cents per ordinary share for
the year ended 31 December 2002 on 26 June 2003 to shareholders on the register
of members on 13 June 2003.



The Company's Annual General Meeting ("AGM") will be held at 19th Floor, Tower
II, The Gateway, 25 Canton Road, Kowloon, Hong Kong on Friday 13 June 2003 at 4:
00 p.m.  Copies of the Company's 2002 Annual Report will be despatched to
shareholders by the middle of May 2003.



The register of members of the Company will be closed from 6 June 2003 to 13
June 2003, both days inclusive, for the purposes of establishing the entitlement
of shareholders to the final dividend and to vote at the Company's AGM.  During
such period, no transfer of shares will be effected.  In order to qualify for
the final dividend and for voting at the AGM, all transfers of shares
accompanied by the relevant share certificates must be lodged with the Company's
transfer agent, Capita IRG plc, Bourne House, 34 Beckenham Road, Beckenham, Kent
BR3 4TU, England not later than 4:00 p.m. (local time) on 5 June 2003.
