                                 Sale of Shares

On the 9th June 2006, Griffin Two, a wholly owned subsidiary of Griffin Group
Plc, disposed of 2,500,000 shares in One Charter. Following this disposal
Griffin Two now has a holding of 39,500,000 shares in One Charter representing
36.74% of that Company's Issued Share Capital.
