Griffin Group Plc (the "Company")
Results of Annual General Meeting

At the annual General Meeting of the Company held today all resolutions were
duly passed.

A resolution was passed approving a proposal to seek a reduction of the
Company's Share Premium Account.  Accordingly, the Company intends to apply to
the Court to sanction the reduction.  If Court sanction is obtained the Company
would be in a position in which it could pay a dividend to shareholders out of
future distributable profits earned.
