                  Directors' Dealings / Holding(s) in Company


On 2 December 2005 pursuant to section 198 of the Companies Act 1985, Griffin
Corporate Finance Limited, a wholly owned subsidiary of Griffin Group Plc, sold
6,000,000 ordinary shares in Worldwide Natural Resources plc at a price of 3.25p
per ordinary share to meet investor demand.

Subsequent to the disposal Griffin Corporate Finance Limited holds 24,000,000
ordinary shares in Worldwide Natural Resources plc representing approximately
37.9 per cent of the issued share capital.

Stephen Dean and Vincent Nicholls, both directors of the Company, are also
directors of Worldwide Natural Resources plc.
