(the "Issuer") 
  In accordance with the provisions of the Issuer Trust Deed dated 26 May 2004 
(as amended, restated, supplemented or otherwise modified and in effect from 
time to time, the "Trust Deed") made between the Issuer and The Bank of New York 
Mellon, as note trustee for and on behalf of the Noteholders, NOTICE IS HEREBY 
GIVEN that, at the adjourned meetings of the Noteholders of each Class of Notes 
convened by the Issuer on 2 September 2009 by a Notice of Adjourned Meetings 
dated 17 August 2009, the extraordinary resolution set out in such Notice (the 
"Extraordinary Resolution") was duly passed by the Noteholders of each such 
Class of Notes. Accordingly, the modifications referred to in the Extraordinary 
Resolution will be implemented.
