RNS Number:0409V Global Health Partner PLC 18 April 2007 Global Health Partner plc ("GHP" or the "Company") Acquisition of Leif Sward Ortopedi AB ("IFK") GHP announces that it has today signed an agreement to acquire 100% of the ordinary shares in IFK, the leading orthopaedic surgery and sports medicine clinic currently operating at Carlanderska private hospital in Gothenburg. IFK possesses a strong reputation for clinical excellence and is headed by the internationally renowned Dr Leif Sward, physician to the England football team, and also employs 3 leading orthopaedic surgeons. Acquisition details GHP has agreed to acquire 100% of the shares of IFK, for consideration of approximately #1.0m cash and 3,958 shares in Gothenburg Medical Clinic AB ("GMC"), (28% of GMC). The purchase of IFK, from Dr Leif Sward and his team of physicians, will be carried out through GHP's subsidiary, GMC, previously owned 100% by the Company. In its latest financial statements for the 12 months to 31 December, 2006, IFK had revenues of approximately #2.6m and an adjusted profit after tax of approximately #220,000 on its accounting basis, translated at current rates of exchange (SEK/#:13.56). IFK has no debt and pro forma gross assets were approximately #890,000, of which cash and cash equivalents were #570,000. The acquisition is expected to be completed within a couple of weeks. IFK/GMC IFK operates under contract for all services within Carlanderska private hospital in Gothenburg. The clinic has a leading reputation for excellence in orthopaedic and sports medical surgery operating both on contracts from the Gothenburg council VGR and privately with insurers. The clinic is owned by the 4 surgeons, who have signed lock in arrangements, and has 5 additional staff. The IFK and GMC clinics will form a subgroup in the orthopaedic service line with the same ownership structure; GHP will own 72% of the subgroup and the IFK surgeons will own 28%. The operations of IFK and GMC will be consolidated within GMC's operating facilities and within a new clinic situated in the centre of Gothenburg. These will provide a lower cost, fully equipped, surgical environment for the IFK surgeons, who will take control of both the GMC and the new clinic's operations. Ann-Sofi Lodin, previously head of Capio AB's Nordic operations, has been appointed as head of the orthopaedic and sports medicine service line to implement these changes and the integration and development of the combined clinic.
