RESULT OF EGM AND CLASS MEETINGS

At  the  Extraordinary General Meeting of  the  Company  and
separate   class  meeting  of  holders  of   zero   dividend
preference  shares  2002  held  this  morning,  all  of  the
resolutions were duly passed.  A quorum was not present  for
the  separate class meetings of holders of income shares and
ordinary  shares  and  these meetings  have  therefore  been
adjourned until 11.10 a.m. and 11.15 a.m. respectively on  5
September 2000, to be held at One Bow Churchyard, Cheapside,
London EC4 9HH.

The  calculation of Package FAV, upon which the issue  price
of  the  Package  Units will be based as  indicated  in  the
circular  to shareholders dated 4 August 2000, is  therefore
expected  to  be  made  as of the close  of  business  on  1
September 2000 and announced on 5 September 2000.

Valid  applications have been received under the Open  Offer
for  Package Units in the aggregate amount of #303,330.  The
number  of Package Units to be issued under the Open  Offer,
and  the Issue Price, is also expected to be announced on  5
September 2000.

It  is  expected that admission and commencement of dealings
in  the  new income shares and new ordinary shares comprised
in Package Units will occur on 8 September 2000.

The  change  of name of the Company to The Income  &  Growth
Trust PLC is now effective.
