Result of the application to the High Court of South Africa Further to the announcement published on 17 September 1998, Standard Corporate and Merchant Bank is authorised to announce that: * the High Court of South Africa (Witwatersrand Local Division) ("the Court") confirmed the reduction in the share premium account of New Wits in terms of Section 84 of the Companies Act, 1973 (Act 61 of 1973), as amended, at a hearing held on Tuesday, 13 October 1998; and * the special resolution reducing New Wits' share premium account which was passed at the New Wits general meeting, together with the Order of Court confirming the reduction of share premium, have been registered by the Registrar of Companies, thus fulfilling all conditions precedent for the completion of the unbundling. Accordingly, New Wits will distribute to its shareholders registered as such at 17:30 on Friday, 16 October 1998, the following shares: - Anglo American Platinum Corporation Limited; - Anglo American Investment Trust Limited; - Anglogold Limited; - Commercial Union of South Africa Limited; - Gold Fields Limited; - Gold Fields of South Africa Limited; - Northam Platinum Limited; - The Randfontein Estates Gold Mining Company, Witwatersrand, Limited; - Sasol Limited; - Vogelstruisbult Metal Holdings Limited; and - Western Areas Gold Mining Company Limited, (collectively "the affected companies") in terms of section 60 of the Income Tax Act, 1993 (Act 113 of 1993), as amended, by way of the reduction in the share premium account and a dividend in specie. Accordingly, New Wits' shares will begin trading on the Johannesburg Stock Exchange ("the JSE") and the London Stock Exchange ("the LSE") ex-entitlement to the unbundling consideration on Monday, 19 October 1998. 2. Salient dates of the unbundling 1998 Record date (New Wits shareholders must be registered by 17:30 South African time in order to participate in the unbundling) Friday, 16 October New Wits shares begin trading on the JSE and the LSE ex-entitlement to the unbundling consideration Monday, 19 October Share certificates in respect of the shares held in the affected companies and cheques in respect of fractional entitlements posted to New Wits shareholders Friday, 23 October All transactions on the JSE and the LSE in New Wits shares during the week ending Friday, 16 October 1998 will be for immediate settlement. 3. Odd-lot facility New Wits shareholders are advised that odd-lots of shares held in the affected companies arising from the unbundling may be disposed of by utilising the odd-lot facility provided by the JSE. New Wits shareholders wishing to dispose of their odd-lots in the affected shares are advised to contact their stockbroker to facilitate the disposal of their odd-lots at the then ruling market price.
