-  the distribution by GFSA to its shareholders of its holdings of listed shares
in Gold Fields Limited and Northam Platinum Limited in terms of section 60 of
the Income Tax Act, 1993 (Act 113 of 1993), as amended:

-  an amendment to GFSA's articles of association; and

-  the transfer of GFSA's listing on the Johannesburg Stock Exchange to the
"Cash Companies" sector;

and incorporating

-  notice of general meeting;
-  a form of proxy
-  a schedule for completion by nominee companies; and
-  a schedule for completion by emigrants.

A copy of the above is available for inspection from the Company Announcements
office of the London Stock Exchange.
