                      G.R. (Holdings) plc (the "Company") 
 
                  Results of AGM and Confirmation of Delisting 
 
The Company is pleased to announce that, at the Annual General Meeting of the 
Company held today, all the proposed resolutions were duly passed. 
 
One of the resolutions passed was a special resolution seeking approval for the 
cancellation of the admission of the Company's ordinary shares ("Ordinary 
Shares") to trading on AIM (the "Delisting"). Following this approval, trading 
in the Ordinary Shares on AIM will cease at the close of trading on 8 December 
2010 with the Delisting taking effect at 7.00 a.m. on 9 December 2010.
