Flextech p.l.c. announces acquisition of a further 748,435
shares by Tele-Communications International, Inc.

Tele-Communications International, Inc. ("TINTA") further
confirmed its commitment to Flextech p.l.c. ("Flextech")
yesterday with the acquisition of 748,435 shares at 622.5p per
share.

TINTA acquired 698,435 shares from Roger Luard, Flextech's
Group Chief Executive, and 50,000 shares from Mark Luiz, Group
Financial Director.  192,592 of the shares acquired from Roger
Luard and all of the shares acquired from Mark Luiz arose from
their each exercising options on 30 June 1997 at an option
price of 324p per share.

The shares were acquired by TINTA at 622.5p per share, being
the mid-market price at close of business on Friday 27 June
1997.  The acquisition increases TINTA's total holding from
56,340,597 shares to 57,089,032 shares representing 36.3%
(previously 35.9%) of the issued  share capital of the Company.

Roger Luard, who retains 100,000 shares, holds options over a
further 198,050 shares in Flextech.  Mark Luiz holds options
over a further 155,458 shares in Flextech.

Fred Vierra, Vice-Chairman and Chief Executive Officer, TINTA
