    Finsaga plc (the "Company")

    Issue of Equity

    As part of the proposal, including inter alia the return of capital and scheme of arrangement (the "Scheme"), announced on 06 June 2008,
the Company issued and allotted on 5 June 2008 one ordinary share to New Finsaga Limited. The issue of the one new ordinary share was
necessary in order to facilitate the Scheme.


    The one new ordinary share will rank pari passu with the other ordinary shares of the Company. Application has been made for the one new
ordinary share to be admitted to trading on AIM and trading is expected to commence on AIM on 13 June 2008.

    Following the issue of the one new ordinary share, the total number of ordinary shares in the Company in issue will be 43,520,721, of
which none are held in treasury and therefore the total number of voting rights is 43,520,721.

     All ordinary shares previously held in treasury were cancelled on 29 May 2008 in preparation for the Scheme.
