                  Resignation of Directors

Following the announcement by XCF Investments Limited on  10
July  2002  that the Mandatory Offer for the  entire  issued
share   capital   of  FCX  International  plc   had   become
unconditional  in all respects, Mr Stuart Stradling  and  Mr
Kenneth  Williams,  both  non-executive  directors  of   FCX
International  plc  have  resigned  from  the   Board   with
immediate effect.
