Dissolution of European Rail Finance Holdings Limited (company number 443562) (the Company)

Eversholt Funding plc (the Issuer) hereby gives notice:

·    that the Company ceased to be an Obligor (as defined in the Issuer's Prospectus dated 25 October 2019) on 16 January 2024.

·    of the merger by absorption of the Company which was undertaken in accordance with the provisions of Chapter 3 of Part 9 of the Companies Act 2014 (as amended) with effect from 16 January 2024.

·    the relevant filings with respect to the merger by absorption of the Company were filed with the Irish Companies Registration Office on 22 January 2024 and the formal dissolution of the Company was confirmed by a change of status of the Company published on the website of the Irish Companies Registration Office on 27 February 2024.
