Result of Meeting of the Noteholders

Proposals for the modification of Condition 6(3) of the £250,000,000 6.25 per 
cent. Notes due 2013 (the option of the Noteholders to be redeemed in the event 
of a Change of Control) and the insertion of a Noteholder put option on 31 
December 2009                                               

NOTICE IS HEREBY GIVEN to the Noteholders that, at the Meeting of such holders
convened by the Notice delivered to the clearing systems on 25 February, 2008
and held on 20 March, 2008, the Extraordinary Resolution set out in such Notice
was duly passed. Accordingly, the modifications referred to in the
Extraordinary Resolution will be implemented.

In accordance with the Conditions of the Notes, Noteholders are hereby notified
that a Change of Control (as defined in Condition 6(3) of the Notes) has
occurred on the date of this notice by reason of the cash acquisition by Eden
Bidco, a newly incorporated company formed by funds advised by Apax Partners
Worldwide LLP and by Guardian Media Group plc, of the entire issued share
capital of the Issuer by way of a court approved scheme of arrangement under
section 425 of the Companies Act 1985.

Pursuant to the Extraordinary Resolution and the modifications referred to
therein, the redemption date for all Notes will be Tuesday, 3 April, 2008. On
that date, the Issuer will also pay to eligible Noteholders the Early
Instruction Fee of £0.10 for each £1,000 in principal amount of the Notes.
