ECLIPSE VCT 3 plc (the "Company")

ISSUE OF EQUITY

Eclipse VCT 3 plc announces that, at board meetings held on 5 April 2006,
1,021,830 Ordinary Shares of 10 pence each were issued and allotted to 157
subscribers at a price of 100 pence per share under the 2005/06 Offer for
Subscription.  This allotment included 5,000 shares allotted to Octopus Asset
Management.  The current issued share capital of the Company is now 29,541,147
Ordinary Shares. This includes the 2 subscriber shares which were issued and
allotted upon the incorporation of the Company, for which admission is also
sought.

Application for the new shares to be admitted to the Official List of the UK
Listing Authority and to trading on the London Stock Exchange's market for
listed securities will be made at the earliest practical opportunity.
