D T & C Limited, in its capacity as Trustee for the Company's Discretionary
Employee Benefit Trust purchased 11,442 ordinary shares of 5p each on 1 August
2003 at a price of 107.5 pence per share.

In addition, as a result of three participants of the Trust exercising options
over a total of 43,500 ordinary shares on 28 July 2003 (32,000), 29 July 2003
(9,000), and 1 August 2003 (2,500) and subsequent transfer of shares on 1 August
2003 (9,000), 4 August 2003 (32,000) and 5 August 2003 (2,500) for a nil
consideration, the Directors below who are beneficiaries under the Trust and
have an interest in the shares acquired, have notified the following changes in
their interests in the shares of DTZ Holdings plc to the Company
