sim5198 - I'm currently awaiting the outcome of effectively the last throw of the dice. there is a meeting in London mid-august between a geologist and the company brokers on some 'better' licenses in Ivory Coast via Geb & Nut. I assume the Geologist is going to convey the quality of licenses, commercial viability of resources/cost estimates etc.. of drilling for Jorc compliance

However, Brian stated that the funds that were available for float had to be returned to investors on their request and effectively DMR is a cash shell with no cash.

Brian is not in attendance at the meeting as he will be in Hong Kong, but said fundraising for gold exploration is virtually impossible due to lack of interest and the recent suppression of gold price.

Dependent on the outcome of the meeting, there could be life in the old dog yet, but even Brian said realistically he does not expect anything positive to result and the likelihood is that he may have to wind up Dimension. I'll update as soon as I have something concrete

Trying to find any 'tit bits' of information an extreme long-shot would be our prospect to be absorbed somehow by goldplat - Brian Moritz being the link to both. Pure speculation on my part but looking at the Investor Presentation, Goldplat is looking to expand into east and west coast Africa and one country they list is Ivory Coast.

See slide 10 of their March 2013 investor presentation mentions Ivory Coast in the list of countries they are looking to expand into (obviously this is where our exploration permits are)



Kind of makes sense, although it would go against the business model of turning Dimension into an exploration vehicle

FYI our advisor is :

..and the new owner who bought them is: Rivington Street


Rivington are a listed entity, so I hope they will have access to potential investors for DMR.

FLOJO - It just means that the company is still doing everything by the book - and at least some recent formal communication has been issued by the company - other than via me...(!)

..having said that I have another update (this morning) from Brian after asking why we were still not listed.

The recent delay (As we had expected to be on Plus by now....or at least approaching a list date) has been a result of goings on at the advisor we have. Dimension had appointed an advisor who sourced an investor to fund capital for listing on Plus (the balance of outstanding £150k new stock issue). The advisor then recently got aquired by a larger organisation.

Subsequent to the aquisition the new owners of our advisor and original investor disagreed on something and the investor withdrew money commitment. The group that bought our advisor has now agreed to source the funding required for listing instead, however, wanted clearance from Plus that 'everything was ok for listing' - clear balance sheet etc. etc... Brian has since obtained that approval from Plus (i.e. If you can confirm funds, you can list) and he is meeting with the advisor tomorrow to progress the listing in his words '... to sort out what is outstanding'. He is on holiday for a week and hopes the advisor will sort out funds before he returns.

One day I shall write a book about this saga, but until then have to remain patient.

Mister MD - Not really certain on the price. The subscription of new shares is fairly closed - I subscribed today and Brian indicated he had already received confirmation today and had wondered who my broker was acting for, which suggests he knows all the subscribers. First time around there was plenty of time and more people could subscribe given lenient timescales, this time around it's promoted much less (brokers were returned original funds and told 'if of interest' they could request another placement invitation letter - dated 13th Sept, closing date 17th Sept) and everyone was given just one week and only those who attended EGM I guess got the letter - I asked for it given I am self classed (lol!) as a sophisticated investor given the amount of stock I already own. Thus, Stock at 0.1p should be tightly held as long term holders like me are using as case to average down.

That said, we've been off market for over 1 year so there should be quite a few frustrated holders or those who have written it off who will likely want to sell. We delisted at about 0.375 - I'd be suprise to see us return any higher than 0.15p given selling pressure.

There are only circa 3 - 4 months before (fingers crossed) a reverse is affected. Though I doubt we can get funds for aquiring a large project at 0.5p as put forward before (unless say we have a board full of suitably qualified individuals to 'add value' to the shell), I believe 0.25 - 0.4 is quite possible and as such investment at 0.1 represents value for money...

My overall average is just shy of 0.3p/share after participation in current placement round. I would like 0.5 - 0.75p /share within the next 12 months and believe given the appropriate opportunity that this is possible.

I also believe Brian is converting any outstanding working capital owed by the company to him (I think he has loaned in the region of £20 - £50k as working capital over the past year). This will likely bring his average stock price down to circa 0.3 - 0.4p a share (a guess based on his historic participation in stock issues). The commitment to equity is encouraging as in the past few years Brian has not taken any salary, nor has Jonathan Moorley-Kirk

H D Shoring - not until mid Jan for Plus I believe assuming all well (which I have no reason to doubt as had routine e-mail exchange on the take-up with BM today). All payments due to DMR by close today (by Nominees), so IMO they should at the very least know how much PI uptake there has been by next week to finalise the uptake between BM and the two sophisticated investors.

After that submit the application to Plus which I guess may take until first full week in Jan - then over to plus for a one to two week process.

DoobyDave - would be good to know if you have any info that Dimension is any further on in discussions re:iron ore prospect. Indeed I do not follow any other conventional metals explorers, I have a small interest in Kenmare, had a small interest that got larger but jumped too soon on Frontier mining and have been following some duff oilers and banks but it stops there.

Brian Moritz knows Bruce Rowan (perhaps a future silent investor or prospect finder) and between them they have their fingers in most pies in SA and Australia as well as joint investment in minerals consultancy through Snowden.

My understanding is that Dimension will not soley be a metals explorer (unless you know different), but that the vision is a global resources shell (Bermudan registered) for various projects and aquisitions. The first project is to get the ball rolling and allow DMR to achieve a certain critical mass whereby it can begin hoovering up more projects be it metals, gems, oil, gas, stone or potash etc.. any that can have value added

Yes I believe there is value in the private placing because the placing only values DMR the shell at £415k - It was trading at £1m on speculation prior to de-list. The tax losses are worth over £1m in my view and it will have say £100k in capital and hopefully be Plus listed. Any return to AIM (hinted for March) with the corresponding substantial equity fund raising would IMO be conducted at a premium (certainly to placement price) but hopefully in excess of 0.5p. An Iron Ore project for instance I can't see needing less than £10m, but moreover £50m+

The idea being that people buy into the shell concept where it's overall value is greater than the sum of the parts due to skills/structure/vision/realistion of prospects. Once critical mass is achieved growth can be accelerated via share issue - not cash usage.

All a bit in the future at the moment - would like to see one aquisition progress so I can sleep easy over my investment. Six years and 5 failed prospects so far - I just want one to start the ball rolling

maxbubble - I think the fact Brian is financing all company expenses himself for the next 12 months indicates he realises a mistake was made. I don't think he needs to apologise as essentially DMR the shell has always been about his ability to get in a new project and would have gone to the wall years ago had he not positioned the company correctly (as a 'working' shell) - or found new money from private investors a couple of years ago.

I think he is open to when and where we re-list but doing so before a new project is injected would not be a good idea. There is an outside chance of something progressing in the next month or so.

Brian communicated to me around 20th August, that he planed to get results audited within 'a couple of weeks time' and would then look into getting the website updated asap. He said there would be a statement on what happened after that re:the listing, though it would not go into any detail.

FLC has also been in touch independently and is reasonably optimistic after speaking to Brian. FLC also offered services to update the website as I think Brian has lost touch/knowledge with those who previously updated it.

Fenseal3-i am one of those investors who have more shares than Duss-and for the record your statement re "how much did you get Duss" is both wrong and and impossible without some form of fraud. Statements like that should be thought out properly before they are bandied about on a public board. I can confirm the statement made by Duss re the potential listings is correct.
