                  New Toy Partnership with Wal-Mart in the US

(London 6th June, 2007) DIC Entertainment ("DIC"), a fully integrated global
children's brand management company announces the launch of an agreement with
Wal-Mart in the US to market an extensive range of exclusive toys for the Mommie
and Me brand. DIC will also relaunch the website for the brand, which one of the
strongest in the US pre-school market. The following press release was issued
today in the US.

         Newly Designed Mommy & Me Online Community to Launch June 2007


Burbank California - June 2007 - DIC Entertainment (DIC), a leading global brand
management company, announces the launch of a new direct-to-retail program from
the Mommy & MeO lifestyle brand that will be available exclusively at Wal-Mart.
The program features an extensive toy line of quality products, targeted to moms
with children 4-years-old and under, scheduled to arrive in stores in August.
DIC Entertainment is also in the process of launching a newly redesigned Mommy &
Me online community. The announcement was made today by Nancy Fowler, Head of
Global Sales, DIC.

Mommy & Me(TM) is an established brand with a 25-year heritage of proven parent/
child playgroup acceptance. The trusted organization is dedicated to teaching
interaction between children and parents and serves as a unique communication
channel that strives to help support, encourage and inspire today's busy
mothers. Over 4 million parents and children attend the 350,000 plus classes
each week.

Through the trusted Mommy & Me(TM) brand, mothers with children 4-years-old and
under will be able to select from an array of products that focus on making any
time the best time for parent and child. The initial August 2007 rollout will
feature four 'Together Time" categories of innovative, educational and
interactive toys, including Potty Time, Bath Time, Sleep Time and On The Go
Time, which were developed by DIC in consultation with noted pediatrician Daniel
Broughton, MD. The toys are designed to encourage "together time" and are
intended to promote the Mommy & Me(TM) brand philosophy of supporting,
encouraging, and inspiring. The Mommy & Me(TM)products will be available in
approximately 1,300 Wal-Mart locations (and online at www.walmart.com for
products over $10). DIC is also currently developing a more comprehensive
program that will feature maternity products, as well as packaged consumer goods
under the Mommy & Me brand for a 2008/2009 launch.

"The main focus of the Mommy & Me products is to foster the concept of 'together
time' to make anytime the best time for parent and child," comments Fowler.
"Wal-Mart continues to be a leader in offering trusted quality and value-priced
products to consumers, and we are thrilled to work with them to bring this
exclusive program to moms across the U.S."

In addition to the toy lines, an all-new Mommy & Me(TM) online community,
www.mommyandme.com, is being designed to re-launch in June 2007. The
comprehensive site will offer the following features:

The Mommy & Me toy line launch will be supported by a comprehensive national
marketing and promotional campaign, including a major national packaged goods
promotion.

ABOUT THE PRODUCTS:

POTTY TIME:

The Potty Training System is a combination pack designed for Mommy to help child
with the Introduction, Rewards, & Reminder stages of Potty Training and includes
the following:

   *Potty Pal Playset includes a soft Training Bear that can "use" the potty
    and sink within the playset that simulates a bathroom. The Potty Pal Playset
    is part of the Introduction Stage of Potty Training.

   *Potty Prize plays encouraging and rewarding phrases for children after
    using the potty and washing their hands. The Potty Prize is part of the
    Rewards Stage of Potty Training.

   *Potty Bracelet can be worn on the child's wrist just like a watch. Mommy
    can set the timer to 15, 30, & 90-minute time intervals. The Potty Bracelet
    is part of the Reminder Stage of Potty Training.


BATH TIME:

   *Scrub-A-Dub Squirt Puppets: Mommy & child can slip on these bath puppets
    and put on a bath time play. Entertain and clean your child as your child
    plays in the bath tub.

   *Sort 'N Squirt Bath Boat allows Mom to help child sort the four different
    shapes by finding corresponding openings on the sides of the boat.
   *Bathtime Island Timer is a floating island that tells the child when bath
    time is over. The fun floating timer that encourages consistent scheduling
    of child's bath time.


SLEEP TIME:

Storytime Pirate Blankee combination pack is a huggable blankee with an
interactive twist!


ON-THE-GO TIME:

   *Count 'N Call Travel Time Phone is a cell phone that teaches numbers in
    English and in Spanish.

   *"Mommy's Calling" Soft Driver includes a soft driver for child to play
    with and a plush cell phone for Mommy.

   *Learning Adventures Laptop allows little ones to take their laptop on
    their adventures and learn as they travel.
