                               CYBIT HOLDINGS PLC

                                ISSUE OF EQUITY

On 15 September 2004 Cybit Holdings PLC (the "Company") allotted 516,667 new
ordinary shares of 0.1p each following the exercise of options held by an
ex-employee of the Company. The options were exercised at a price of 1.0p each.
Application has been made for admission to AIM of such new ordinary shares,
which will rank pari passu in all respects with all other ordinary shares now in
issue. Admission is expected to take place and dealings commence in the new
ordinary shares on 21 September 2004.
