                       Cybit Holdings plc (the "Company")

                 Additional Listing and Director Shareholdings

The Company has today made application for admission of 46,000,000 ordinary
shares of 0.1p each in the Company to trading on the Alternative Investment
Market of the London Stock Exchange plc. These shares have been issued to
certain of the Company's Directors who have opted that they be issued to satisfy
part of their remuneration for prior financial years instead of cash. The shares
will rank pari passu with the existing ordinary shares of the Company and
dealings in the new ordinary shares are expected to commence on Friday, 11 April
2003. Following admission of the new ordinary shares, the shareholdings of those
Directors will be as follows:
