Total Voting Rights

As at 31 December 2020, the Company's issued share capital (excluding treasury shares) consisted of:

124,768,754 ordinary Euro shares of no par value

194,829,202 ordinary Sterling shares of no par value

Each ordinary Euro share carries the right to 1 vote and each ordinary Sterling share carries the right to 1.17 votes.

The total number of voting rights of the ordinary Euro shares of no par value is 124,768,754 and of the ordinary Sterling shares of no par value is 227,950,166. The total number of voting rights in the Company is 352,718,920.

The Company will hold the following ordinary shares in treasury:

20,598,771 ordinary Euro shares of no par value (non-voting)

174,947,441 ordinary Sterling shares of no par value (non-voting)

The above figure (352,718,920) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
