Limited ("Simons") Proposed acquisition of ordinary shares in Wellington Market Company Plc ("WMC") and proposed issue of new 7.5% cumulative preference shares of #1 each in Simons ("Preference Shares") Simons announces that is has today entered into a conditional contract with G de Rham Holding SA ("GdeR") to acquire 150,000 ordinary shares in WMC. The consideration for this proposed acquisition is the issue, credited as fully paid, of 101,940 new Preference Shares. The acquisition is conditional upon: i). the passing at an extraordinary general meeting of Simons and also at a class meeting of the holders of Preference Shares of resolutions, inter alia, to increase the authorised share capital of Simons and to authorise the directors of Simons to issue the 101,940 new Preference Shares; and ii). the Financial Services Authority, acting in its capacity as the competent authority for the purposes of the Financial Services and Markets Act 2000, agreeing to admit the new Preference Shares to the official List and London Stock Exchange Plc agreeing to admit the new Preference Shares to trading on London Stock Exchange.
