Final Dividend Proposed

Further to the Company's policy to pay regular cash distributions in the form of semi-annual dividend payments and to target dividends equivalent to an annual yield of 5 per cent. of the Net Asset Value ("NAV") per Ordinary Share at the start of each financial year, the Board has today proposed a final dividend of 0.69 pence per Ordinary Share in respect of the financial year ended 30 September 2012.

Together with the Company's interim dividend of 0.69 pence per Ordinary Share paid on 8 August 2012 and assuming approval by shareholders, this would represent total dividends for the year of 1.38 pence per Ordinary Share, equivalent to a yield of approximately 5 per cent. on the opening NAV per Ordinary Share of 27.59 pence on 1 October 2011.

Subject to approval by shareholders, the final dividend will be paid on 10 April 2013 to holders of record at 15 March 2013. The Ordinary Shares will go ex-dividend on 13 March 2013.

CQS Cayman has stated its intention that, provided that it does not receive acceptances which, when taken together with the interests of CQS Cayman and the other members of the CQS Group, would exceed 75 per cent. of the issued share capital of the Company, the Company should continue to remain: (i) a public company, (ii) listed on the CISX, (iii) admitted to trading on AIM, and (iv) committed to pursuing its existing investing policy and dividend policy; and

CQS Cayman has also indicated that it would be likely take steps to delist, to cancel the admission of its Shares to trading on AIM and to wind-up the Company if, following the Offer, acceptances are received which, when taken together with the interests of CQS Cayman and the other members of the CQS Group, would exceed 75 per cent. of the issued share capital of the Company and the Board considers that it would not be in the best interests of Shareholders to keep the Company listed on the CISX, nor for its Shares to continue to be traded on AIM.


Currently at approximately 64.23 per cent and offer extended until 27 November.

As I voted against, lets hope the 75% is not reached. Ho hum!
