Total Voting Rights and Issued Share Capital


In accordance with the Disclosure and Transparency Rules of the Financial
Services Authority, Conival confirms that, as at the date of this announcement,
its issued share capital comprises 368,520,000 Ordinary Shares of 0.5 pence
each.

All the Ordinary Shares have equal voting rights, and none of the Ordinary
Shares are held in Treasury.  The total number of voting rights in the Company
is therefore 368,520,000.

This figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in, the share capital of the Company under the
Disclosure and Transparency Rules.

In accordance with Chapter 5 of the Financial Services Authority's Disclosure
and Transparency Rules, the Company was today informed of the following
interests in the issued voting share capital of the Company:
