Audit Tender

The Co-operative Bank p.l.c. and The Co-operative Bank Finance p.l.c. ("Bank") announces its intention to appoint PricewaterhouseCoopers LLP ("PwC") as its auditor for the year ending 31 December 2024. This follows a competitive mandatory tender process overseen by the Audit Tender Steering Group of the Joint Audit Committee, resulting in a recommendation, which was approved by the Bank board.

Ernst & Young LLP ("EY"), the Bank's current auditor, will continue in their role and will undertake the audit of the Bank for the year ending 31 December 2023, subject to re-appointment by the shareholders at the 2023 Annual General Meetings ("AGM").

The appointment of PwC will be recommended to the Bank's shareholders for approval at the 2024 AGM.
