RNS Number:2144Z CMS WebView PLC 28 June 2007 RNS Release 28 June 2007 AGM results and Company Update At the Company's Annual General Meeting held earlier today, all the resolutions were duly passed. In my Chairman's Statement dated 23 May 2007, I advised shareholders that I would make a further update of the Company's position at the AGM. In my statement I reported that although sales meetings were still ongoing, the board wished to stress that no new TDI sales had yet resulted despite positive feedback from many of the meetings indicating that the new sales model might have the potential to deliver future revenues, and that it would therefore be sensible for CMS to verify this possibility by continuing to meet potential TDI customers over the short term. I also noted, however, that while TDI sales were being actively pursued, the board also recognised that CMS's cash position required the consideration of other corporate actions at the same time. Acting in the best interests of shareholders, CMS directors were open to corporate deal opportunities with companies that might find significant value in CMS's 'clean' balance sheet and its proven TDI product or in realising the value of CMS's intellectual property assets. Subsequently, in a trading statement dated 19 June 2007, the Company reported that it had held discussions with a number of companies wishing to evaluate TDI, but that it was important to highlight that those discussions were at an early stage. I now have to report that none of the discussions have progressed beyond an early stage and that the Company, while solvent, now has limited financial resources at its disposal. The board has therefore taken professional advice and with considerable regret determined that it should recommend to shareholders that the solvent company be placed in Members Voluntary Liquidation (MVL). We will therefore be writing to shareholders within the next few days and will be convening an Extraordinary General Meeting to consider and, if thought fit, pass the necessary resolutions to implement the MVL. During the intervening period CMS will continue discussions with companies that might find value in the Company's proven TDI product.
