I may be splitting hairs here, but it's been pointed out to me that legally, what the first paragraph is actually saying, is that notifications will only be issued to those who hold certificates that (are to be issued) by the company on the 29th March. There won't be any? If it's by design or by the ( deliberate?) use of poor grammar people will have to determine for themselves. Those with a good memory will recall that this Company invited shareholders to view its product at a trade show, I forget where but it was not in the UK. Some investors spent time and money to attend to find the stand was full of empty boxes, not even packaging, and not one working example of its then health monitor. The art wirk on the outside of the boxes also included spelling mistakes.

I wouldn't trust Amit any more than I would trust bully boy pj as an investor.

Everything he has bought he has LOST money on. He has lost a small fortune.

Payment arrangements
19th January 2024

Following the announcement of the 21st December 2023, it was intended that the agent aimed to be in a position to transfer funds during the week ending 19th January 2024. This timetable has slipped slightly at the behest of the Company (as explained below) and now, they affirm to establish contact with shareholders either directly or via their investment platforms during the following days ending 31st January 2024.

As mentioned at the time, there is an important but complex part of the process to notify all shareholders at the same time given that a link is sent to establish payment. This is relevant given the range of investors and their various currency requirements and to ensure that no one is disadvantaged by a lengthy notification process.

The company was notified yesterday that a number of private investors and a London based US institutional investor were contacted but could not be assured that all shareholders would then be communicated in a timely fashion. To avoid any potential disadvantage, the company has ensured no payments have been made today. The payment agent has given assurances to the company that it will be notifying all shareholders in a timely fashion next week.

As confirmed on the 11th January 2024, it has been confirmed the level of payment per share and all other parts of the process are ready for actioning.

The Company remains under strict non-disclosure agreements. All further updates will be published on www.cloudtag.com.

Running that timeline, week ending 6th October (anticipated) for the daap annoucement, the company stated 1st June that distribution would take place within 4 weeks of the daap announcement (by company unknown). Therefore looks like we're 'on target' for a payout between 9th Oct and 3rd November.

I wonder who all the players are at the J P M health conference. It's today, 11th until 14th Sept. Moderna (one of the Covid winners $$'s) is there as well as these and probably more

...that aside, the numbers (valuation), longevity of talk track, and natural and concise way things are written lead me to believe it is true.

With the 'technical' issue out of the way, the next message could now be "It's company xxx (see their announcement), and we've been paid".

Just because people feel like it's a scam, doesn't mean it is - the money has been made in dilution of our original holdings, if there is a scam anywhere I feel that was it i.e. take off market, raise equity with people closer to the truth and conclude deal

If this was dead, it would have been much much easier (and less problematic to explain to authorities for Ben) to just say no deal, ran out of money etc.. this did not happen, which implies something positive has been going on

I don't have a huge amount invested here, but it would be nice to see one of the many AIM investments that died on me actually bear some fruit.

Whilst I agree with your ill-put view I take some heart that this is a reality check of how gullible we investors are.

Who wants to bet that the cash proceeds won't be payable until some sort of cash is first paid to the "agent"?

It will start off with the agent's fee, then a local tax, then a lawyer's fee, a security bond, etc, etc, etc. All of these fees to be paid in advance before the funds can be released.

Then they'll find some warrants that each investor has that need to be exercised ... before the funds can be released.

... etc etc etc

They'll keep coming up with new and exotic reasons as to why investors have to pay funds to the agent until either the investor (a) comes to their senses, or (b) runs out of money!

I am not an investor in Cloudtag, not have I ever been. However, a friendly warning. I was invested in a company called Paragon Diamonds - as clear a case of AIM fraud as you could ever hope to see (in retrospect, of course). I contacted a guy called Peter Petyt (at a company called 4Rivers) who was helping to put together a class action for s'holders in African Potash. He seemed to know what he was talking about. I and 9 other PRG s'holders each stumped up a £250 'activation fee' to pay for his time to work on the case, with the understanding that he (and the lawyers involved, who were working no-win, no-fee) would take a cut (of about a third) from any settlement with the nomad (it was they we were planning to sue - for negligence in not conducting sufficient Due Diligence to spot the fraudulent RNSs - as they would have professional indemnity insurance). I believe 10 AFPO s'holders also stumped up a £2.5k activation fee. That was H1/H2 2017. On Sunday Petyt mailed Paragon s'holders to say that following (allegedly) advice from counsel there was no case, and he was withdrawing. 18 wasted months and £2.5k down the drain. I believe AFPO s'holders have had a similar experience.

I mention all of this because early on I went for several curries with Petyt, and he stated that he wanted to build a business in this area of class action litigation, and Cloudtag was a name he mentioned.

I'm not suggesting that any Cloudtag s'holders should or should not deal with Petyt - that's entirely up to you. All I'm saying is that if any of you have (or do) come across him exercise extreme caution before parting with any money. I would suggest you ask him to demonstrate a track record of success in such cases before giving him any money: as far as I'm aware he doesn't have one, we were going to be it.

Andy, LOL. We both know of a company that suddenly found 1,000 high wealth sophisticated investors - it can happen...
I just hope shareholders here do not develop memory loss and forgive all that has happen here.. the last thing i would do is pile more money in pre IPO. IF the company lists.. and proves it is worth investing .. then perhaps looking at adding at this stage might be worth it

I would have thought any hint of a reslist would be shouted from the rooftops too.


They need a listing so they have access to retail investors' money, and the expertise in the city that extracts that money from retail investors and transfers it(minus their fees of course!) to Amit for him to spend as he sees fit.
