                           RESULT OF GENERAL MEETING


The Independent Directors of Civica announce that, at the General Meeting held
today in connection with the Offer, Independent Shareholders voted in favour of
the resolution required by Note 4 on Rule 16 of the City Code to approve the
Management Arrangements. The Resolution was passed as an ordinary resolution on
a poll and the voting results were:

Shareholders are reminded that the first closing date of the Offer is 1.00pm
(London time) on Friday 18 April 2008.
