"Sale by Toyota Finance Australia Limited of Notes under the issue of 
EUR300,000,000 3.875% Euro Medium Term Notes due 2006 of Toyota 
Finance Australia Limited (the "Issuer") issued pursuant to its 
U.S.$7,000,000,000 Euro Medium Term Note Programme (ISIN: XS0159367035) 
(the "Notes")

Pursuant to Condition 6(i) of the terms and conditions of the Notes set out in
the Trust Deed (Such Trust deed as modified and/or supplemented and/or restated
from time to time) dated 27 September 2002 made between the Issuer, Toyota Motor
Finance (Netherlands) B.V., Toyota Credit Canada Inc. and Bank of Tokyo-
Mitsubishi Trust Company, the Issuer has as at 17 February 2003 sold those
EUR50,000,000 of the aggregate amount of the Notes which it had purchased on 20
December 2002 and decided not to cancel.

Following such sale, EUR300,000,000 of the aggregate nominal amount of the Notes
are outstanding."
