CHANGE OF AUDIT COMMITTEE MEMBER & MERGER OF TWO COMMITTEES
TO FORM A COMMITTEE KNOWN AS AUDIT & RISK MANAGEMENT COMMITTEE





15 February 2002 - The Board of Directors of BIL International Limited wishes to
announce that effective 1 February 2002:-



1.   Mr Wong Kok Siew has resigned as a member of the Audit Committee.



2.   Mr Kwek Leng San has replaced Mr Wong Kok Siew as a member of the Audit

      Committee.



3.   The Audit Committee has been merged with the Risk Management Committee to
     form a committee known as the Audit and Risk Management Committee. Its members
     are:-



                   Mr Reggie Thein     (Chairman)

                   Hon Philip Burdon

                   Mr Kwek Leng San
