As announced previously , the Company's ultimate holding company, mg
technologies ag ("mg") has decided to sell its chemical business, Dynamit Nobel.
Chemetall PLC represents the UK, Ireland and Middle East business of the
Chemetall group, the speciality chemicals division of Dynamit Nobel.

The supervisory board of mg has approved the sale of Dynamit Nobel to Rockwood
Specialties Group Inc., a US-based speciality chemicals company. The transaction
is still planned to be completed by the third quarter of 2004 and is subject to
approval by annual general meeting of mg, as well as by the relevant anti-trust
authorities.
