As announced in October 2003, the Company's ultimate holding company, mg
technologies ag ("mg") has decided to sell its chemical business, Dynamit Nobel.
Chemetall PLC represents the UK, Ireland and Middle East business of the
Chemetall group, the speciality chemicals division of Dynamit Nobel.

Dynamit Nobel, excluding the plastics division, will be sold to Rockwood
Specialities Group Inc., a U.S.-based speciality chemicals company. The purchase
price amounts to Euro 2.25 billion. Rockwood is backed by Kohlberg Kravis
Roberts & Co. L.P., a leading private equity company, and Credit Suisse First
Boston Private Equity.

The transaction is planned to be completed by the third quarter of 2004 and is
subject to approval by the supervisory board and annual general meeting of mg,
as well as by the relevant anti-trust authorities.
