Result of elections under the Scheme

On 24 November 2017, Chelverton Small Companies Dividend Trust PLC (“SDV” or the “Company”) and SDV 2025 ZDP PLC (“2025 ZDPCo”), a wholly-owned subsidiary of SDV, published a prospectus containing details of proposals, inter alia, to offer the holders of Existing ZDP Shares the opportunity to elect to roll all or part of their investment in Chelverton Small Companies ZDP PLC into new 2025 ZDP Shares to be issued by 2025 ZDPCo (the “Scheme”).

The Board of 2025 ZDPCo is pleased to announce that a total of 10,977,747 ZDP Shares will be issued pursuant to the Scheme as follows:

Further to the Scheme, valid elections were received from eligible holders of Existing ZDP Shares by the closing date in respect of a total of 8,030,547 Existing ZDP Shares.  In accordance with the terms and conditions of the Scheme, all applications made by eligible holders of Existing ZDP Shares have been accepted in full and 10,977,747 new ZDP Shares will be issued on the basis of a final capital entitlement of 136.70p per Existing ZDP Share.

ZDP Placing

The exact number of ZDP Shares to be issued by 2025 ZDPCo pursuant to the ZDP Placing is dependent on the result of the Placing, Intermediaries Offer and Offer for Subscription of C Shares which will be announced on or around 22 December 2017.  Stockdale Securities has agreed under the Placing Agreement to use its reasonable endeavours to procure placees for the ZDP Shares at the ZDP Issue Price.

Orders under the ZDP Placing must be received by Stockdale by 12.00 pm on 4 January 2018.

It is expected that the results of the ZDP Placing will be announced on or around 5 January 2018.

Admission and dealings

Following announcement of the results of the ZDP Placing, application will be made for the ZDP Shares to be admitted to listing on the standard segment of the Official List and to trading on the London Stock Exchange’s main market for listed securities. Dealings are expected to commence at 8.00 a.m. on 8 January 2018. It is anticipated that CREST accounts will be credited (where applicable) on the same day and the ZDP Shares will trade using the ticker SDVP and under ISIN GB00BZ7MQD81. New share certificates in respect of the ZDP Shares will be issued as soon as practicable following admission.
