Posting of Section 980 Notices to non-accepting Charteris Shareholders
Suspension and Cancellation of Trading on AIM
Since the Offer made by Sword Soft Limited ("Sword") on 13 December 2013 has been declared wholly unconditional in all respects and the level of acceptances under the Offer is in excess of 90 per cent., notices under section 980 Companies Act 2006 ("Act") have been posted to shareholders who have not yet accepted the Offer. These notices, unless challenged in accordance with the Act, have the effect of entitling Sword to compulsorily acquire the shares of those shareholders who have yet to accept the Offer. The transfers required by the notices take effect on 6 March 2014. The rights of shareholders in respect of the notices are set out in the letter from Sword accompanying the notices.
Given the Offer, the Company is not in a position to announce its final results for the year ended 31 July 2013 and, accordingly, dealings in the Company's shares will, in accordance with the AIM Rules, be suspended from trading as from 7.30am on 3 February 2014.
As announced on 6 January 2014, trading in the Company's shares on AIM is expected to be cancelled with effect from 4 February 2014.
