Directorate Appointment and Directorate Change
The Board of Charteris plc, the provider of business and IT consultancy services, is pleased to announce the appointment of Stephen Vaughan as Non-Executive Chairman with effect from 29 July 2013.
Steve Vaughan, aged 52, has over 30 years of experience in the technology sector. He spent 14 years with EDS Ltd, formerly SD-Scicon plc, during which time he was employed in a number of senior executive roles. Subsequently, Steve was CEO of Synstar plc from 2001 to 2005, until the acquisition of the business by Hewlett Packard. He was CEO of Communisis plc from 2006 until 2010, during which time he launched a new strategy which gave rise to a significant turnaround in that company's performance. More recently, Steve has been advising private equity firms and start-ups on strategy and market trends, and established businesses on management structure and development.
Steve succeeds Cliff Preddy as Chairman. Cliff has been working with the Board on plans for his retirement and it has now been agreed that he will leave the Board on 2 August 2013.
Steve has been granted options over 2,500,000 ordinary shares of 1p (one pence) each (approximately 5.0% of the current allotted, issued and fully paid share capital) in the share capital of the Company under its EMI Scheme, for nil consideration. The options have an exercise price of 1p (one pence) per share, are subject to certain performance conditions (with vesting levels linked to increases in shareholder value), and are normally exercisable between 1 August 2016 and 31 July 2023.
Cliff Preddy said: "We are delighted that Steve Vaughan has accepted the opportunity to become the next Chairman of Charteris. Steve has proven expertise in shaping and executing strategy in the technology sector, and a track record of improving business financial performance."
