NOTICE TO THE HOLDERS OF THE

GBP50,000,000 3.509 per cent. Secured Bonds due 2048 (including GBP20,000,000 in principal amount of Retained Bonds) (ISIN: XS1785151363)

(the "Bonds")

issued by CHARM Finance plc (the "Issuer") on 12 April 2018

   1             Introduction 

We refer to the trust deed relating to the Bonds dated 12 April 2018 and made between the Issuer and Prudential Trustee Company Limited (the "Trustee") (the "Bond Trust Deed"). Notice is hereby given by the Issuer to holders of the Bonds (the "Bondholders") pursuant to Condition 15 (Notices) of the Bonds as follows.

   2             Notice 

NOTICE IS HEREBY GIVEN to the Bondholders that with effect on and from the date hereof, amendments relating to the calculation of interest have been made to Condition 7.1, Condition 7.3 and the definitions of the Bonds pursuant a supplemental deed, in the form attached to the written resolution of the Bondholders dated 19 September 2018 (the "Supplemental Deed").

   3             Inspection of documents 

Copies of each of the Bond Trust Deed and the Supplemental Deed are available for inspection during normal business hours at the registered office for the time being of the Issuer (being at 29 Church House, Great Smith Street, London SW1P 3PS).

   4             Definitions 

Capitalised terms used and not otherwise defined in this notice shall have the meanings given to them in the Bond Trust Deed and the Conditions (as amended by the Supplemental Deed).

   5             Governing law 

The terms of this Notice shall be governed by and construed in accordance with English law.
