                                GRANT OF OPTIONS 
 
CBaySystems Holdings (AIM: CBAY), a leading provider of technology-enabled 
clinical documentation and related healthcare revenue cycle solutions, announces 
that Dinesh Kumar and Suresh Nair have been appointed as Co-Managing Directors 
of one of the Company's subsidiaries, CBay Systems (India) Private Limited, with 
effect from July 1, 2010 (the "Appointments"), reporting to Raman Kumar, 
CBaySystems' Vice Chairman and CEO. 
 
The Company also announces that, on July 9, 2010, the Company granted 200,000 
options each to Dinesh Kumar and Suresh Nair, with an exercise price of 135p, in 
relation to the Appointments.  In addition, Dinesh Kumar was granted a further 
50,000 options, also with an exercise price of 135p, which relate to his 
employment at the Company prior to the Appointments.  All 450,000 options (the 
"Options") were granted under the Company's 2007 equity incentive plan and are 
to vest as follows: 
·      1/3 of the Options will vest on the first anniversary of the date of the 
grant; and 
 
·      the remaining Options will vest semi-annually thereafter, in equal 
installments of 1/6 of the Options granted.
