CANCELLATION OF ADMISSION TO TRADING ON AIM
On 22 August 2011 Greene King plc ("Greene King") announced that the recommended cash offer by Greene King for Capital Pub Company had been declared unconditional in all respects. Today, Greene King announced that, as at 1.00 p.m. on 2 September 2011, it had received acceptances in respect of Capital Pub Company Shares representing 94.7 per cent. of the shares to which the Offer relates. Accordingly, Greene King announced its intention to compulsorily acquire the outstanding Capital Pub Company Shares under the provisions of sections 974-991 (inclusive) of the Companies Act 2006.
Further to these announcements Capital Pub Company confirms that an application has been made to the London Stock Exchange for the cancellation of admission to, and trading of, ordinary shares on AIM. Cancellation will take effect on or shortly after 7.00 a.m. on 3 October 2011.
