                     Results of rights issue 25 May 2001

BWA Group Plc announces that a total of 28,985,013 New Ordinary Shares of 0.5p
each were taken up in the Rights Issue of up to 395,680,506 New Ordinary Shares
which was announced on 27 April 2001. Together with the 320,000,000 additional
New Ordinary Shares underwritten, and 35,000,000 New Ordinary Shares issued to
The Thames Fund Limited as part of the consideration for the purchase by the
Company of the British World Aviation Preference Shares the total ordinary
issued share capital of the Company has risen to 497,036,586.

As a result of these changes the following shareholders have interests in more
than 3% of the issued share capital of the Company:

NatWest Ventures Investments Limited                    12.92%
Bath Limited                                             5.47%
