BUSINESS SYSTEMS GROUP HOLDINGS PLC (the "Company")


Notification of change in Director's interest

James Wheaton, Group Finance Director, notified the Company on 17 April 2003
that, on that day, he surrendered 200,000 shares allocated to him under the
current employee share ownership scheme. The surrender occurred as a result of
the Company's anticipated restructuring of its existing schemes. The shares will
continue to be held by the Trust which currently acts as bare trustee for all
existing allocations under the schemes.

Following this notification, Mr Wheaton no longer has a beneficial interest in
the issued share capital of the Company. However, it is expected that shares
will be allocated to him under an alternative scheme, which the Company is
expected to set up in the coming months.
