RECOMMENDED CASH ACQUISITION

of

BRIGHTSIDE GROUP PLC

by

BELVEDERE BIDCO LIMITED

a newly incorporated company indirectly owned by AnaCap Financial

Partners II, LP, a fund ultimately managed by AnaCap FP GP II Limited

which is advised by AnaCap Financial Partners LLP

to be effected

by means of a Scheme of Arrangement

under Part 26 of the Companies Act 2006

Court sanction of Scheme of Arrangement

Brightside Group plc ("Brightside") is pleased to announce that at the Scheme Court Hearing this morning, the Court has made an order sanctioning the Scheme in connection with the recommended offer for Brightside by Belvedere Bidco Limited ("Bidco"), the terms and conditions of which are contained in a scheme document posted to the Brightside Shareholders on 20 May 2014 (the "Scheme Document").

The last day of dealings in and registration of transfers of Brightside Shares will be tomorrow, 23 July 2014. Listing of Brightside Shares on AIM and trading in Brightside Shares on AIM will suspended with effect from 7.30 a.m. on 24 July 2014.

The Scheme remains conditional on, inter alia, Court approval being obtained for the Capital Reduction at the Reduction Court Hearing which is scheduled to take place on 24 July 2014. The Scheme will become effective once the Scheme Court Order and the Reduction Court Order have been delivered to the Registrar of Companies.

Subject to the Court confirming the Capital Reduction, the Scheme is expected to become effective on 24 July 2014.

Brightside has applied to the London Stock Exchange for the cancellation of admission to trading of Brightside Shares on AIM and, subject to the Scheme becoming effective, is expected to take effect at 7.00 a.m. (London time) on 25 July 2014.
