In conformity with the FSA's Disclosure and Transparency Rules ("the Rules"), the Company would like to notify the market of the following:

As at 31 December 2012 the Company's issued share capital consisted of the following:

- 44,663,600 UK Emerging Companies Shares with 1.2 voting rights per share; - 3,877,914 Cash Fund Shares with 1 voting right per share

In accordance with the terms of the Company's Articles of Association, the Company's Base Share Class (the "Base Class") is defined as the Cash Fund Share Class, and each of these shares carries one voting right.

Voting rights in respect of any other share classes that may exist are required to be adjusted annually by dividing the Net Asset Value per Share (calculated in the currency in which the Shares of the Base Class are denominated) of the relevant Class by the Net Asset Value per Share of the Base Class (rounded to one decimal place with 0.05 being rounded upwards) in each case as at the Vote Calculation Date. The "Vote Calculation Date" in respect of a particular Class of Shares means the last month-end NAV Calculation Date for such Class of Shares in the immediately preceding calendar year.

The NAV for the UK Emerging Companies Share Class as at 31 December 2012 was £1.28297 and the NAV for the Cash Fund Share Class as at 31 December 2012 was £0.99849.

Therefore as at 31 December 2012 the Company's issued share capital has the following voting rights after the annual adjustment has been applied.

- 44,663,600 UK Emerging Companies Shares with 1.3 voting rights per share; - 3,877,914 Cash Fund Shares with 1 voting right per share

The total number of voting rights in the Company is therefore 61,940,594 with effect from 1 January 2013.

The above figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Rules.
