Birse Group plc advises that it received notification on 1 September 2004 from
Peter Malcolm Birse that he has sold a holding in the Company of 1,750,000
ordinary shares, representing 0.91% of the total number of ordinary shares in
issue.  Following the transaction Mr. Birse will hold a total of 25,620,820
ordinary shares, representing 13.32% of the total ordinary shares in issue.
